Terms of Service

IMPORTANT: Carefully read these Terms of Service before using Raincoat's websites, quote experiences, customer portal, software, and related services.

1. Entering Into This Agreement

These Terms of Service set out the terms and conditions that apply to your access to and use of the websites, applications, quote flows, account tools, document tools, customer portal, content, and related services provided by Raincoat Insurance Technologies ("Raincoat," "Company," "we," "our," or "us") (collectively, the "Services").

This Agreement creates a binding legal agreement between you ("User," "you," or "your") and Raincoat. By accessing or using the Services, creating an account, submitting a quote request, uploading documents, or clicking an "I accept" or similar button, you indicate your acceptance of this Agreement.

You must have reached the legal age of majority in your jurisdiction of residence and be fully able and competent to enter into this Agreement. You are responsible for ensuring that you are legally eligible to use the Services under any laws that apply to you.

You may not use the Services if you are located in a country or region subject to applicable sanctions or if your use of the Services would violate applicable law. If you use the Services on behalf of another person, household, organization, or entity, you represent that you have the authority to do so.

2. Privacy Policy and Supplemental Terms

By using the Services, you agree to Raincoat's Privacy Policy, as it may be updated from time to time. The Privacy Policy explains how Raincoat collects, uses, discloses, stores, and protects personal information.

Raincoat may process personal information and insurance-related information to provide and improve the Services, support quote and application workflows, service accounts and policies, communicate with you, comply with legal and regulatory obligations, and protect the security and integrity of the Services.

We may share information with service providers, insurance partners, underwriters, brokers, adjusters, reinsurers, affiliates, advisors, regulators, or other third parties as described in our Privacy Policy or as required to provide the Services.

Raincoat may amend this Agreement from time to time by posting an updated version with a new "Last Updated" date. If you do not agree to an amendment, your remedy is to stop using the Services.

3. Definitions

As used in this Agreement:

  1. Accountmeans the account, profile, login, or user record created or assigned for your use of the Services.
  2. Personal Informationmeans information about or relating to an identified or identifiable individual that is subject to applicable privacy laws.
  3. Privacy Lawsmeans all applicable privacy, data protection, and electronic communications laws governing the collection, use, disclosure, retention, or protection of Personal Information.
  4. Raincoat Technologymeans the software, systems, interfaces, designs, data models, documentation, materials, content, workflows, and technology used or provided by Raincoat in connection with the Services.
  5. Servicesmeans Raincoat's websites, quote experiences, customer portal, account tools, document tools, communications, content, software, and related offerings.
  6. User Datameans data, information, documents, content, or materials that you submit, upload, provide, authorize, or make available through the Services.

4. The Services

1. Access

Subject to your compliance with this Agreement, Raincoat grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services for your personal, household, insurance, account, quote, or policy-related purposes.

2. Updates and scheduled downtime

Raincoat may update, modify, suspend, replace, or discontinue any aspect of the Services at any time. We may schedule downtime for maintenance or upgrades and will use commercially reasonable efforts to provide notice where practicable.

3. Privacy Policy

To the extent User Data contains Personal Information, Raincoat will collect, use, store, and disclose that information in accordance with the Privacy Policy and applicable law.

4. Internet security disclaimer

You acknowledge that the Internet is inherently risky despite reasonable security measures, and that Raincoat does not control internet connectivity, networks, devices, or third-party services outside Raincoat's control.

5. Limitation, suspension, or termination of access

Raincoat may suspend, terminate, or limit access to the Services, in whole or in part, where we determine that doing so is necessary to protect the Services, comply with law or governmental requests, prevent harm, address security or fraud risks, or protect Raincoat, users, insurance partners, or third parties.

5. Your Use of the Services

1. Access and security guidelines

To use certain parts of the Services, we may require you to create an Account or use assigned login credentials. You are responsible for keeping your login credentials confidential and for all activity occurring through your Account. You must promptly notify Raincoat of any actual or suspected unauthorized use.

You agree to provide accurate, current, and complete information and not to provide false, misleading, or fraudulent information about yourself, your property, your insurance needs, your documents, or any other information submitted through the Services. Raincoat may use verification procedures to confirm identity, eligibility, authorization, or information submitted through the Services.

2. Responsibilities and restrictions

You agree that you will not, and will not permit any person to:

  • Use the Services other than as permitted by this Agreement.
  • Use the Services in a way that violates another person's privacy, publicity, intellectual property, contractual, proprietary, or other legal rights.
  • Use the Services in a manner that is abusive, harassing, defamatory, obscene, discriminatory, misleading, fraudulent, unlawful, or harmful.
  • Submit false or misleading quote, application, property, document, identity, payment, or policy-related information.
  • Use the Services for the benefit of a third party except as expressly permitted by Raincoat.
  • Copy, modify, translate, decrypt, extract source code from, reverse engineer, decompile, disassemble, or create derivative works from any part of the Services or Raincoat Technology.
  • Use or launch automated systems, bots, scrapers, spiders, or artificial intelligence processes that access the Services without Raincoat's permission.
  • Interfere with or attempt to interfere with the Services, connected systems, networks, security features, or other users.

3. User Data

You are responsible for User Data you provide through the Services. You agree not to submit User Data that violates law, infringes third-party rights, is false or misleading, or contains malware, viruses, or other harmful code. Raincoat may take remedial action if User Data violates this Agreement, but Raincoat has no obligation to review User Data for accuracy or potential liability.

6. Ownership

1. Raincoat Technology

Raincoat retains all right, title, and interest in and to the Services, Raincoat Technology, and all software, materials, formats, interfaces, information, data, content, designs, and proprietary technology used or provided by Raincoat. Except as expressly stated in this Agreement, no license or other rights are granted to you.

2. User Data

Except as stated in this Agreement, you retain rights you may have in your User Data. You grant Raincoat a license to collect, use, store, process, reproduce, transmit, display, and disclose User Data as reasonably necessary to provide, operate, secure, improve, and support the Services, comply with law, and carry out the purposes described in this Agreement and the Privacy Policy.

3. Aggregated data

Raincoat may collect, use, reproduce, process, analyze, and display User Data in aggregated or anonymized form for business purposes, including improving the Services, developing new products or features, analytics, security, and operational reporting.

4. Feedback

If you provide suggestions, comments, reviews, ideas, or other feedback, you grant Raincoat a perpetual, irrevocable, worldwide, royalty-free license to use, publish, aggregate, modify, or incorporate that feedback in connection with the Services and Raincoat's business.

7. Term and Termination

This Agreement begins when you accept it or first use the Services and continues until terminated. Raincoat may terminate this Agreement or your access to the Services at any time by providing notice or by disabling access.

Upon termination, your access to the Services may be suspended or ended. Sections concerning User Data, ownership, disclaimers, indemnity, limitation of liability, and general provisions will survive termination.

8. Disclaimers

Unless otherwise expressly agreed to in writing by Raincoat, the Services and any information, products, or services provided by Raincoat are provided "as is" and "as available," without warranties, representations, or conditions of any kind. Raincoat disclaims all express, implied, collateral, or statutory warranties, including implied warranties of merchantability, title, non-infringement, security, reliability, completeness, quiet enjoyment, accuracy, quality, integration, or fitness for a particular purpose.

Raincoat does not warrant that the Services will operate without interruption or error, that information provided through the Services will be complete or error-free, or that any quote, estimate, recommendation, eligibility indication, coverage summary, or pricing information will be final or binding unless expressly stated in applicable policy documents or written disclosures.

Insurance coverage, pricing, eligibility, terms, exclusions, conditions, and availability are subject to applicable underwriting, carrier approval, regulatory requirements, and final policy documents. Information provided through the Services is not a substitute for the terms of an issued policy.

Raincoat is not responsible for acts, omissions, or failures of third-party providers, networks, software, hardware, insurers, brokers, underwriters, payment processors, hosting providers, telecommunications providers, or other services not controlled by Raincoat.

9. Indemnity

You will indemnify, defend, and hold Raincoat harmless from and against actions, losses, liabilities, damages, fees, settlements, and costs claimed by a third party arising out of or related to your breach of this Agreement, your negligence, willful misconduct, fraud, misuse of the Services, User Data, or alleged violation of third-party intellectual property, privacy, contractual, proprietary, or other rights.

10. Limitation of Liability

The following provisions are a fair allocation of risk, are an essential basis of this Agreement, and will survive despite any failure of consideration or exclusive remedy.

Unless otherwise expressly agreed to in writing by Raincoat, Raincoat's total aggregate liability for all claims in connection with this Agreement or the Services is limited to CAD $100. The existence of multiple claims will not increase this amount.

In no event will Raincoat be liable for special, indirect, incidental, consequential, exemplary, or punitive damages, lost profits, lost savings, lost data, loss of use, loss of goodwill, business interruption, or procurement or costs of substitute products or services, whether in contract, tort, negligence, strict liability, or otherwise.

To the extent permitted by law, you waive any right to a jury trial and agree not to participate as a member of a class of claimants in any class action involving a dispute arising out of or relating to this Agreement or the Services.

Except as provided by applicable law, you agree not to bring a claim under or related to this Agreement more than 12 months after the claim first arose.

11. General Provisions

1. Assignment

You may not assign this Agreement without Raincoat's prior written consent. Raincoat may assign this Agreement or any rights under it to a third party without your consent.

2. Force majeure

If performance of an obligation is affected by circumstances beyond a party's reasonable control, including acts of God, labor disturbances, epidemics, pandemics, power failures, internet connectivity issues, or acts or omissions of third parties, that party will be excused from performance to the extent necessary.

3. Arbitration

Any dispute or claim between you and Raincoat arising out of or relating to this Agreement will be referred to and finally resolved by arbitration administered by the Vancouver International Arbitration Centre pursuant to its applicable rules. The place of arbitration will be Vancouver, British Columbia, Canada, the language of arbitration will be English, and the number of arbitrators will be one.

Notwithstanding the foregoing, Raincoat may seek injunctive or equitable relief in any court of competent jurisdiction.

4. Choice of law and jurisdiction

This Agreement and any action related to it will be governed by and construed in accordance with the laws of the province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

5. Notices

Any notice or other communication required or permitted under this Agreement and intended to have legal effect must be given in writing. Notices will be deemed given upon receipt or when delivery is refused.

6. Entire agreement

This Agreement is the entire understanding between you and Raincoat regarding use of the Services and supersedes prior or contemporaneous understandings, agreements, proposals, or representations about that subject matter.

7. Severability and waiver

If any provision of this Agreement is held invalid or unenforceable, the valid and enforceable portions and the remaining provisions will remain in full force and effect. A waiver or failure to enforce any provision on one occasion will not be deemed a waiver on another occasion. Waivers must be in writing.

8. Relationship of the parties

Raincoat and you are independent parties. No agency, partnership, franchise, joint venture, fiduciary, or employment relationship is created by this Agreement.
